Agreement to these terms#
These Terms of Service ('Terms') govern your access to and use of BotSync, including the website, web dashboard, mobile app, inbox, AI reply tools, automation flows, broadcast tools, CRM, booking tools, knowledge base, integrations, and related services (collectively, the 'Service').
By creating an account, accessing a workspace, connecting a messaging channel, or otherwise using BotSync, you ('Customer' or 'you') agree to these Terms on behalf of yourself and the organization you represent. If you do not agree, do not use BotSync.
BotSync may update these Terms from time to time. Material changes will be communicated by updating the effective date and, where appropriate, by email or dashboard notice. Continued use of the Service after the effective date of an update constitutes acceptance.
Definitions#
The following capitalized terms have the meanings shown below.
- 'BotSync', 'we', 'us', 'our': the entity that operates the BotSync service; contactable at support@botsync.in.
- 'Workspace': a tenant on the BotSync platform owned by a workspace owner and optionally shared with team members.
- 'Workspace Owner': the individual who creates a workspace and is responsible for billing, configuration, integrations, and the workspace's compliance with these Terms.
- 'Customer Data': all data submitted to, transmitted through, or generated within a workspace by the workspace owner, team members, or connected platforms, including messages, leads, knowledge base content, and CRM data.
- 'AI Features': suggested replies, automated chat handling, knowledge base answers, lead qualification, lead scoring, summarization, and other AI-assisted features enabled in a workspace.
- 'Connected Account': any third-party account or channel (Meta, WhatsApp, Instagram, Facebook, Google, Razorpay, OpenAI, OpenRouter, etc.) connected to a workspace by the workspace owner.
Who may use BotSync#
You must be at least 18 years old, of legal capacity to enter into a contract, and authorized to act on behalf of the organization whose workspace you manage. The workspace owner is responsible for the actions of every user, teammate, agent, and administrator invited into the workspace.
You must provide accurate account, billing, security, and integration information and keep it updated. You are responsible for protecting login credentials, API keys, access tokens, connected Meta accounts, and other third-party credentials. We strongly recommend enabling two-factor authentication on every account.
Each login is intended for a single individual. Sharing credentials between people is discouraged; instead, invite teammates as workspace users.
Meta and messaging platform compliance#
If you connect or use WhatsApp Business Platform, Instagram, Facebook, Messenger, or any Meta service through BotSync, your use is also governed by the applicable Meta terms, platform terms, commercial terms, developer policies, messaging policies, community standards, brand guidelines, and product documentation. You must read and follow those policies in addition to these Terms.
You are responsible for having the required permissions, approvals, opt-ins, templates, lawful basis, account authority, and business authorization before sending or receiving messages, running automations, connecting pages or professional accounts, using comment triggers, or processing Meta platform data.
You must not use BotSync to violate, bypass, or help others violate Meta rules, message limits, review requirements, app permissions, API restrictions, account integrity requirements, or enforcement actions. We may suspend a connected channel or workspace immediately to comply with a Meta enforcement notice or to prevent platform-level harm.
Connected accounts and permissions#
When you connect a third-party account or channel, you authorize BotSync to access, process, store, transmit, and display information from that account only as needed to provide the enabled product features.
You must only connect accounts, pages, phone numbers, documents, sheets, apps, and business assets that you are authorized to use. If your authorization ends — for example because you leave the organization that owns a connected page — you must disconnect the integration or notify us promptly at support@botsync.in.
Acceptable use#
You agree not to use BotSync, and not to allow any user of your workspace to use BotSync, to do any of the following.
- Send spam, deceptive messages, unlawful content, abusive content, malware, phishing, misleading offers, harassment, hate content, content sexualizing minors, or content that violates applicable law or platform policies.
- Scrape, sell, rent, sublicense, transfer, or misuse platform data, Meta user data, conversation data, lead data, or CRM data except as allowed by law, platform rules, and the purpose for which the data was collected.
- Attempt to bypass rate limits, access another workspace without permission, reverse engineer the Service, decompile or extract source code, disrupt service availability, conduct unauthorized security testing, or upload content that you do not have the right to use.
- Use BotSync for any activity that violates Indian law including the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, the Indian Penal Code, the Telecom Commercial Communications Customer Preference Regulations, or applicable export control and sanctions laws.
- Resell, white-label, or expose BotSync as your own service without a written reseller agreement with BotSync.
AI-assisted features#
BotSync includes AI Features that generate suggested replies, automated responses, summaries, lead qualifications, lead scores, follow-ups, knowledge base answers, and similar outputs. AI output may be incomplete, inaccurate, outdated, biased, or unsuitable for a specific situation.
You are responsible for configuring prompts, business rules, knowledge base content, approvals, disclaimers, and human review processes. You must not rely on AI output as legal, financial, medical, admissions-guarantee, or other professional advice. Where automation makes a decision that significantly affects a person you must keep a human-review channel available.
You must not configure AI or automation flows to deceive users, impersonate another person without authorization, make unsupported claims, conceal that an automated system is in use where disclosure is legally required, or hide other legally required disclosures.
Customer data and content#
You retain ownership of Customer Data submitted to or processed through BotSync. You grant BotSync a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, analyze, secure, and store that content only as needed to provide, maintain, improve, protect, and support the Service.
You are responsible for the accuracy, legality, quality, consent status, and retention requirements of the data and content you upload or process through BotSync. You represent that you have all rights, consents, and authorizations needed to submit Customer Data to BotSync.
BotSync will not access Customer Data except as necessary to deliver and support the Service, debug an issue, prevent abuse, comply with law, or with your authorization. Super-admin impersonation, where used, is logged in the tenant audit log and bound to the originating admin session.
Privacy and data protection#
Our Privacy Policy at https://botsync.in/privacy explains how we collect, use, store, and share personal information. By using BotSync you also agree to the processing described in the Privacy Policy.
Each party will comply with all data-protection laws applicable to it, including India's Digital Personal Data Protection Act, 2023 (DPDPA) and, where applicable, the EU/UK GDPR. The Workspace Owner is the data fiduciary or data controller for personal data processed inside its workspace; BotSync acts as the data processor and follows the Workspace Owner's documented instructions.
You are responsible for providing required notices to your leads, customers, students, and contacts, and for honoring deletion, opt-out, consent, unsubscribe, and data-access obligations that apply to your business.
Broadcasts, automations, and consent#
You are responsible for ensuring every broadcast, follow-up, automated reply, template message, and campaign complies with applicable laws, platform policies, message-window rules, consent requirements, unsubscribe and opt-out requirements, and content restrictions.
BotSync provides safeguards such as opt-out lists, broadcast suppression, template approvals, send-rate limits, and audit logs. These tools support compliance but do not replace your responsibility to use messaging channels lawfully and responsibly. We may pause or block a broadcast that we reasonably believe violates platform rules or applicable law.
Plans, billing, payments, and trials#
Paid plans, usage limits, billing cycles, renewal terms, included AI quota, and add-ons are shown in the Billing section of the dashboard and in any commercial agreement signed with BotSync. Fees are due according to the selected plan or agreement.
Free trials, where offered, run for the trial duration shown in the dashboard at signup. Unless cancelled before the trial ends, the workspace moves to the chosen paid plan and is invoiced for the next billing cycle.
Online payments are processed through Razorpay. Card and bank details are handled by Razorpay and are not stored by BotSync. Customers in India may pay via UPI, cards, net banking, and other methods enabled in Razorpay.
Some costs — including OpenAI or OpenRouter usage, Meta or WhatsApp Business messaging charges, payment gateway fees, telecom fees, cloud fees, or other third-party service costs — may be billed separately by those providers or passed through according to your setup. BotSync's AI wallet meters and charges per AI reply at the rates and tiers shown in the dashboard.
Late or failed payments may result in past-due status, AI features being paused, outbound messaging being paused, or eventual suspension of the workspace. We will provide reasonable advance notice and a grace period before suspension wherever practical.
All fees are exclusive of applicable taxes, including GST in India. Indian customers will be invoiced inclusive of GST where applicable.
Refunds and cancellation#
You can cancel a subscription at any time from the Billing section of the dashboard or by emailing support@botsync.in. Cancellation prevents the next renewal; the current billing cycle remains active and is not refunded by default.
Refunds may be considered on a case-by-case basis where BotSync has materially failed to provide the Service and the issue has not been resolved after a reasonable cure period. Refund requests should be sent to support@botsync.in within 14 days of the charge.
Charges already debited from the AI wallet for AI replies generated and delivered are non-refundable, except in cases of duplicate billing or proven billing error.
Payment-gateway fees levied by Razorpay or other processors are non-refundable.
Service availability and SLA#
We aim to make BotSync available 24x7, with a target monthly uptime of 99.5 percent for the web dashboard and webhook ingestion. Targets exclude scheduled maintenance, third-party outages (such as Meta, OpenAI, OpenRouter, or Razorpay), force majeure events, and abusive traffic.
We may interrupt the Service for planned maintenance, upgrades, infrastructure issues, third-party outages, platform policy changes, API changes, security controls, or events outside our control. Where reasonable, we will announce planned maintenance in advance via the dashboard or email.
We may update, improve, suspend, limit, or remove parts of the Service when needed for security, reliability, compliance, product development, or commercial reasons. Material removals of paid features will be communicated to affected Workspace Owners.
Suspension and termination#
We may suspend or terminate access if we believe your use creates security risk, violates these Terms, violates third-party platform policies, creates legal exposure, causes service abuse, harms other users, or remains unpaid after the grace period.
Where the breach is curable, we will provide a notice describing the issue and a reasonable cure period before terminating, except in cases of legal compulsion, platform enforcement, or imminent security or integrity risk.
You may stop using BotSync at any time. On termination your workspace data will be retained for the period described in the Privacy Policy and the Data Deletion page, after which it will be deleted or de-identified except where retention is required for legal, billing, fraud-prevention, or platform-compliance reasons.
Third-party services#
BotSync integrates with third-party services such as Meta (WhatsApp, Instagram, Facebook), OpenAI, OpenRouter, Google (Sheets, OAuth, Calendar), Razorpay, Firebase, Sentry, and various hosting and storage providers. We do not control those services and are not responsible for their outages, policy changes, pricing, review decisions, account restrictions, or API behavior.
Your use of each third-party service is governed by that provider's own terms, policies, fees, permissions, and account requirements. You must keep your accounts on those services in good standing for the related BotSync features to work.
Intellectual property#
BotSync — including its software, dashboard design, workflows, documentation, branding, AI prompts and tooling, and product features — is owned by BotSync or its licensors and is protected by Indian and international intellectual property laws. These Terms do not transfer any ownership of BotSync's IP to you.
You may not copy, resell, sublicense, reverse engineer, or create competing services from BotSync except as expressly allowed by a written agreement with BotSync or by applicable law.
If you provide feedback, suggestions, or ideas about the Service, you grant BotSync a perpetual, irrevocable, royalty-free license to use them to improve the Service, without any obligation to you.
API access and rate limits#
Where BotSync exposes APIs, integrations, or webhook endpoints, you must follow the documentation, respect published rate limits, and use the API only on behalf of the workspace whose credentials authorized the request. BotSync may throttle, suspend, or revoke API access that exceeds the published limits or that we reasonably believe causes harm to the Service.
BotSync may change API behavior, payloads, or rate limits. We will provide reasonable notice of backward-incompatible changes where feasible.
Indemnification#
You will defend, indemnify, and hold harmless BotSync and its affiliates, officers, employees, and contractors from any third-party claim, loss, liability, or expense (including reasonable lawyers' fees) arising from your Customer Data, your use of the Service, your breach of these Terms, your violation of applicable law or platform policy (including Meta, WhatsApp Business, or Razorpay terms), or your use of any Connected Account or AI Feature.
BotSync will defend you against any third-party claim alleging that the Service, as provided by BotSync and used in accordance with these Terms, infringes that party's intellectual property rights, and pay any final award or settlement, provided you notify us promptly, give us sole control of the defence, and reasonably cooperate.
Disclaimers and limitation of liability#
BotSync is provided on an as-is and as-available basis. To the maximum extent permitted by law, BotSync disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted access, perfect AI output, specific conversion results, admissions outcomes, revenue growth, message delivery, third-party platform approval, or account approval by Meta or any other provider.
To the maximum extent permitted by law, BotSync's total liability arising out of or related to these Terms — whether in contract, tort (including negligence), strict liability, or any other theory — will not exceed the greater of (a) the total fees you paid to BotSync for the Service in the twelve months immediately preceding the event giving rise to the claim, or (b) INR 10,000.
Neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to these Terms, even if advised of the possibility of such damages. The limitations in this section do not apply to your indemnity obligations, payment obligations, or to liability that cannot be limited under applicable law.
Force majeure#
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, fire, flood, earthquake, pandemic, war, terrorism, civil unrest, government action, strikes, internet or telecommunications outages, cloud provider failures, or denial-of-service attacks. The affected party will use reasonable efforts to resume performance as soon as practicable.
Governing law and dispute resolution#
These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction over any dispute, claim, or controversy arising out of or related to these Terms or the Service.
Before initiating any formal proceedings, the parties will try in good faith to resolve any dispute by sending a written notice to support@botsync.in and engaging in informal discussions for at least 30 days.
If the dispute is not resolved within 30 days, it will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted by a sole arbitrator appointed by mutual consent (or, failing agreement, as provided under that Act), seated in Bengaluru, India, in the English language. The arbitral award will be final and binding on the parties.
Either party may seek interim or injunctive relief from a competent court to protect its intellectual property or confidential information without first following the dispute-resolution steps above.
Export controls and sanctions#
You represent that you are not located in, under the control of, or a national or resident of any country or person subject to Indian or other applicable sanctions, and that you will not use the Service in violation of applicable export-control or sanctions laws.
Assignment and entire agreement#
You may not assign or transfer these Terms without BotSync's prior written consent. BotSync may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
These Terms, together with the Privacy Policy, the Data Deletion page, and any plan-specific or commercial terms agreed in writing, form the entire agreement between you and BotSync regarding the Service. If any provision is held unenforceable, the remaining provisions will continue in full force and effect.
Changes and contact#
We may update these Terms of Service from time to time. When we make material changes we will update the effective date at the top of this page and, where appropriate, notify workspace owners through email or the dashboard.
